We will always do our best to look after your website and keep things simple. This page explains what each plan covers, what we each agree to, and what happens when something falls outside the plan, so there are no surprises on either side. We have kept the language plain on purpose.
These Terms and Conditions govern the WordPress website management service provided by Dptrax (the agency operated by Oyekunle Damola through oyekunledamola.com), referred to here as we, us or Dptrax, to the client who subscribes to a plan, referred to here as you. By subscribing to a plan and completing payment, you agree to these terms.
1. The service
We provide ongoing management of your WordPress website under the plan you select (Basic, Standard or Premium). The specific inclusions of each plan, such as backup frequency, support response time, monthly support time and monitoring level, are those listed on our pricing page at the time you subscribe.
2. What we both agree to
You agree to give us timely and accurate WordPress admin and hosting access when we need it, to keep your own domain, hosting and any third-party licenses current, and to reply to reasonable requests for anything we need to do the work. Delays in access or information may delay the work, and we are not responsible for issues arising from access we were not given.
We agree to look after your website professionally and on time, to keep your access details and business information confidential, and to use them only to carry out your work.
3. What is included and what is not
Your subscription covers the features of your chosen plan. The following are not included and are available as separate paid work on a quote:
- New feature development or custom functionality
- Custom design builds, redesigns or rebranding
- Content creation, copywriting or graphic design
- Data recovery, malware removal or remediation of issues that existed before your subscription, including rebuilding a site that is already broken, hacked or infected
- Website migrations beyond what your plan states
Your domain name and hosting are yours and stay in your name. If you would rather we set them up and run them for you, we can. For any paid themes or plugins your site needs: if we built and look after your site, those are on us unless we agree otherwise. If you brought us a site you already had, they stay with you.
4. Your monthly support time
Each plan includes a set amount of support time each month, as shown for your plan. You can use it for small updates, fixes, and questions, anything we can complete within that time.
If something you ask for would take longer than the time left in your month, or is really a separate project, we will tell you first: roughly how long it will take and what it would cost. You then choose, spread it across future months of support time, approve it as separate paid work, or leave it. We will not run up extra charges or start large work without your go-ahead.
Unused time does not roll over; each month starts fresh. If a problem is caused by our own mistake, we fix it at no charge and it does not come out of your support time.
5. Fees and billing
Fees are charged per the plan and billing interval you select, monthly or annually, at the prices published on our pricing page. All fees are stated and charged in Nigerian Naira and are exclusive of third-party costs such as hosting, domains or paid plugins.
6. Automatic renewal
Subscriptions renew automatically at the end of each billing cycle through our payment processor, Paystack. Your saved payment method is charged the current fee for your plan at each renewal until you cancel. By subscribing, you authorize these recurring charges.
7. Cancellation
You may cancel at any time using the subscription management link provided by Paystack, or by emailing damola [at] oyekunledamola [dot] com. Cancellation stops all future charges. Your service continues until the end of the period you have already paid for.
8. Refunds
Monthly plans are non-refundable. Cancelling a monthly plan stops the next charge, but the current month already paid for is not refunded.
For annual plans, if you cancel before the end of your term, we will refund the fees for whole, unused months remaining in that term on a pro-rata basis. The month currently in progress and any partial month are not refunded.
9. Failed or late payments
If a renewal payment fails, we will notify you and provide a link to update your payment method. If payment is not resolved within a reasonable period, we may pause or suspend the service until it is.
10. Backups
We maintain backups at the frequency stated in your plan and take reasonable care to keep them current. You remain responsible for keeping your own independent copy of any data that is critical to you.
11. Third parties and availability
Your website relies on third parties, including your hosting provider, domain registrar, plugin and theme vendors and payment processors. We are not responsible for downtime, data loss or other issues caused by those third parties, by factors outside our reasonable control, or by conditions that existed on your site before your subscription began.
12. Limitation of liability
To the fullest extent permitted by law, our total liability to you for any claim arising from the service is limited to the total fees you paid to us in the three months immediately before the claim. We are not liable for indirect or consequential losses, including lost revenue, lost profits or loss of data.
13. Suspension or ending your plan
We may suspend or end the service if fees are unpaid, if the account is used abusively, or if the work required falls materially outside your plan and you decline a quote for the additional work.
If we ever decide to end your plan, we will give you reasonable notice and refund any time you have paid for but not used, calculated pro-rata, on both monthly and annual plans.
14. Changes to these terms or pricing
We may update these terms or plan pricing from time to time. For price changes that affect your renewals, we will give you reasonable notice, normally at least thirty days, before they take effect.
15. If part of these terms cannot be enforced
If any part of these terms turns out to be invalid or unenforceable, only that part is removed and the rest stays in full effect.
16. Governing law
These terms are governed by the laws of the Federal Republic of Nigeria. Any dispute relating to them is subject to the courts of Lagos State, Nigeria.
